Responsibilities
Role SummaryWe are establishing a new strategic department within the Legal Unit and are looking for a Head of Department, Licensing & M&A to lead high-impact regulatory expansion and corporate development projects across multiple jurisdictions. This is a senior role with direct reporting to the Chief Legal Officer, responsible for managing licensing programs (MiCA, MiFID II, EMI/PI, Banks licensing) and M&A integrations worldwide.
The Head of Department will initiate and manage complex, cross-functional work involving Legal, Compliance, Risk, Finance, Product, Operations and Technology, ensuring the company (the group) successfully obtains new licenses, enters new markets, and executes acquisitions. The role includes frequent interaction with regulators, senior leadership, and external advisors.
This is a mission-critical position: errors or delays directly affect licensing timelines, market entry, and deal execution.
Licensing & Regulatory Expansion
- Lead end-to-end licensing projects across jurisdictions (MiCA, MiFID II, EMI, PI, Banks, etc.).
- Coordinate preparation, submission and follow-up of applications with the relevant regulators worldwide.
- Oversee regulatory correspondence, timelines, documentation packages, and internal approvals.
- Ensure completeness and regulatory readiness of policies, procedures, governance frameworks, AML/CTF, risk systems, and operational controls regarding the project.
- Lead complex multi-jurisdiction programs (3–5 simultaneous licensing tracks at Senior/Lead-level market benchmark).
- Potentially manage the internal team
M&A & Corporate Development
- Owner of the roadmap to reflect stakeholders’ expectations, leader in communications across the cross-functional teams
- Manage M&A workflows, including due diligence, deal documentation support, regulatory Change of Control notifications, and integration planning.
- Coordinate datarooms, internal/external stakeholder communication, and advisory processes.
- Lead onboarding and integration of acquired teams/entities across HR, Finance, Compliance, Risk and Operations etc.
Project Governance & Delivery
- Build end-to-end roadmaps, Gantt charts, project plans, and executive dashboards.
- Facilitate cross-functional alignment; remove blockers and ensure timely delivery.
- Manage project risks, escalations, and Board-level expectations.
- Prepare executive summaries and reports for senior leadership and regulators.
- Establish departmental governance standards, documentation controls, and project methodology.
Cross-Functional & External Communication
- Act as the central coordination point between Legal, Compliance, Product, Tech, Risk and Finance.
- Lead steering committees, weekly stand-ups, and executive updates.
- Translate complex regulatory requirements into actionable operational tasks.
- Maintain transparent project documentation (Confluence/Notion).
Requirements
Experience- 5+ years of project management experience in fintech, crypto, payments, brokerage, banking, or other highly regulated sectors.
- Proven hands-on involvement in licensing processes, regulatory submissions, M&A projects.
- Strong understanding of regulatory frameworks (MiCA, MiFID II, AMLD5/6, PSD2, EMI/PI licensing, FATF, etc.).
- Demonstrated ability to manage high-risk, time-sensitive regulatory initiatives.
- Direct experience communicating with regulatory authorities relevant to the above.
- Background in Corporate Finance, or Compliance, or Legal, or Risk, or Operations.
- Experience in M&A, due diligence and integration.
- PMP/Prince2/Agile certification is a plus.
- Availability for occasional business travel would be a plus.
Skills- Strong cross-functional stakeholder management and communication.
- Excellent planning, prioritization and organizational skills.
- Experience with Jira, Confluence, Notion, Asana or similar tools.
- Ability to interpret regulations and convert them into operational requirements.
- Outstanding written and verbal communication abilities.
- Fluent English and Russian (mandatory).
